Yvonne Liu is an equity partner with Tsar & Tsai Law Firm. Yvonne’s practice focuses on merger and acquisitions, cross-border transactions, foreign investment, financing and capital markets. Yvonne advises many well-known international groups, private equity funds, venture capitals and foreign investors on complex public and private M&A and investments in a wide range of sectors including high-tech, bio-tech and health care, e-commerce, manufacturing, cable and telecommunications, financial, and renewable energy. Yvonne specializes in M&A instruments of tender offer, share swap, and joint venture, etc., and leads her team to provide a wide variety of services in investment structure planning, legal due diligence, preparation of transaction documents, merger filing, application of regulatory approvals, general corporate and corporate restructuring. Yvonne is also active in Mainland investment projects in Taiwan and has successfully assisted Mainland clients to apply for or divest its investment in Taiwan. She also successfully defended Mainland investors against the competent authority’s punishments which has become a leading case in this field. Yvonne is also familiar with securities regulations regarding public offering, private placement and listing. She has assisted many clients successfully issue GDR, ECB and TDR. She constantly assists issuers for their IPO and listing on stock exchanges in Taiwan and also assists foreign-listed company to conduct legal due diligence and issue legal opinion in relation to their Taiwan operation. Yvonne also advises listing companies for its delisting and relisting plan in Taiwan or other jurisdictions. In addition to transaction work, Yvonne also provides legal advice on shareholding structuring, and assists clients to resolve shareholding and other commercial disputes by litigation and/or arbitration.
